Beta Notice: Misa is currently in a closed beta. Access to the Platform is by invitation only. Features, functionality, and content are actively in development and may change, be limited, or be discontinued at any time without notice. These Terms will be updated prior to general launch.

Welcome to Misa. By accessing or using our website, mobile application, or any related services (collectively, the “Platform”), you agree to be bound by these Terms & Conditions (“Terms”). Please read them carefully before using our Platform. These Terms constitute a legally binding agreement between you and Misa Wellness, PBC (“Misa,” “we,” “us,” or “our”). If you do not agree to these Terms, please do not use our Platform.

1. Eligibility

You must be at least 18 years of age to use Misa. By using our Platform, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

2. Description of Services

Misa is a women’s health and wellness platform being developed to deliver personalized guidance rooted in each user’s unique cycle data. The Platform is designed to help women better understand their bodies and make informed choices about their health and lifestyle. During the current beta period, the Platform is in active development and its features, content, and functionality may evolve, change, or be modified at any time. Misa’s content is for general informational and wellness purposes only. Our Platform is not a medical service and does not constitute medical advice, diagnosis, or treatment.

3. Health & Medical Disclaimer

THE INFORMATION PROVIDED ON THE MISA PLATFORM IS FOR EDUCATIONAL AND WELLNESS PURPOSES ONLY AND IS NOT INTENDED AS A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT.

Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay seeking it because of information you have accessed through Misa. If you are pregnant, nursing, have a medical condition, or are taking medications, please consult your healthcare provider before using our services.

4. Medical Claims & Liability

FDA General Wellness Classification: Misa is intended solely as a general wellness platform. Our content, recommendations, and cycle-synced guidance are designed to support healthy lifestyle choices and are not intended to diagnose, treat, cure, or prevent any disease or medical condition. Misa does not constitute a medical device under FDA regulations and should not be used as one.

No Liability for Health Outcomes: To the fullest extent permitted by law, Misa Wellness, PBC shall not be liable for any health outcomes, adverse effects, injuries, or damages arising from your use of or reliance on any content, recommendations, or guidance provided through the Platform. This includes but is not limited to nutrition suggestions, movement guidance, mindfulness practices, and cycle-phase-based insights.

User Assumption of Responsibility: By using the Platform, you acknowledge and agree that: (a) all wellness guidance is for informational purposes only; (b) you are solely responsible for how you act on any recommendations provided; (c) Misa’s guidance does not account for your individual medical history, pre-existing conditions, medications, or specific health needs; and (d) you will consult a qualified healthcare provider before making any changes to your diet, exercise routine, or health practices based on content accessed through Misa.

No Doctor-Patient Relationship: Your use of the Misa Platform does not create a doctor-patient, therapist-client, or any other professional healthcare relationship between you and Misa or any of its team members, partners, or affiliated content providers.

5. Account Registration

To access certain features of our Platform, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that contain false or misleading information.

6. User Conduct

You agree not to use the Platform to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Upload or transmit harmful, offensive, or inappropriate content
• Interfere with or disrupt the integrity or performance of the Platform
• Attempt to gain unauthorized access to any part of the Platform or its systems
• Use the Platform for any commercial purpose without our express written consent

7. Beta Participation

By accepting an invitation to use the Misa Platform during the beta period, you agree to the following additional terms:

Confidentiality: The Misa Platform — including its features, user interface, design, content, cycle-syncing logic, and overall user experience — constitutes confidential and proprietary information (“Confidential Information”). By participating in the beta, you agree not to disclose, share, or publicize any Confidential Information without our prior written consent. This includes, but is not limited to, posting screenshots, screen recordings, or descriptions of the Platform on social media, blogs, forums, or any other public channels. This obligation survives the termination of your beta access.

Feedback Ownership: We welcome and encourage your feedback during the beta period. However, any suggestions, ideas, feature requests, or other feedback you provide to Misa (“Feedback”) shall become the sole and exclusive property of Misa Wellness, PBC. By submitting Feedback, you irrevocably assign to Misa all rights, title, and interest in and to that Feedback, and waive any claim to compensation or credit. Misa is free to use, implement, or disregard any Feedback at its sole discretion.

“As-Is” / No Warranty: The beta Platform is provided strictly “as-is” and is under active development. It may contain bugs, errors, or inaccuracies. Misa makes no warranties — express or implied — regarding the accuracy, reliability, or completeness of any content, recommendations, or insights generated during the beta period, including cycle-synced wellness guidance. Your participation is voluntary and at your own risk.

Termination of Beta Access: Misa reserves the right to revoke your beta access at any time, for any reason, with or without notice. This includes but is not limited to: violation of these Terms, misuse of the Platform, breach of confidentiality, or the conclusion of the beta program. Upon termination, your license to use the Platform immediately ceases and your obligation to maintain confidentiality continues in full force.

8. Intellectual Property

All content on the Misa Platform, including but not limited to text, graphics, logos, images, audio, video, and software, is the property of Misa Wellness, PBC or its content suppliers and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for your personal, non-commercial use. You may not reproduce, distribute, modify, or create derivative works from any content without our express written permission.

9. Third-Party Integrations

Our Platform may integrate with third-party services and devices, including Oura, Whoop, and others. Your use of these third-party services is governed by their respective terms of service and privacy policies. Misa is not responsible for the practices or content of third-party services.

10. Disclaimers & Limitation of Liability

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, MISA DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL MISA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless Misa Wellness, PBC and its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Platform or violation of these Terms.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the “Last Updated” date and, where appropriate, providing additional notice. Your continued use of the Platform after such changes constitutes your acceptance of the updated Terms.

13. Termination

We reserve the right to suspend or terminate your access to the Platform at our sole discretion, with or without cause or notice. Upon termination, all licenses granted to you will immediately cease.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Los Angeles County, California.
